Job Description

We are seeking a meticulous and proactive Corporate Paralegal to support our legal team with a variety of essential tasks. This role is pivotal in ensuring the smooth operation of our corporate legal processes, providing expert assistance to assigned attorneys.

Key Responsibilities

General Corporate

• Facilitate the formation and dissolution of corporate entities, including name reservation and filing organizational documents.
• Draft and manage organizational documents such as Articles of Incorporation and Operating Agreements.
• Prepare and maintain corporate record books and electronic files for corporate clients.
• Conduct due diligence, including UCC searches and obtaining good standing certificates.
• Draft and process dissolution documents and facilitate audit letter responses.

Mergers & Acquisitions

• Assist in drafting agreements and organizing disclosure schedules for due diligence.
• Prepare closing checklists, documents, and transcripts, and assist with the closing process.
• File necessary UCC and other required documents.

Banking

• Prepare draft loan documents and assist with related due diligence.
• Organize closing checklists and ancillary documents, supporting the closing process.
• Manage the filing of UCC and other essential documents.

Required Skills and Abilities

• Exceptional verbal and written communication skills.
• Strong understanding of legal language, research methods, and court processes.
• Outstanding organizational skills with a keen attention to detail.
• Proven ability to manage time effectively and meet deadlines in a fast-paced environment.
• High level of confidentiality, discretion, and sound judgment.
• Proficiency in Microsoft Office Suite and NetDocuments.

Education and Experience

• Associate degree in Paralegal Studies or a related field preferred.
• Relevant experience is advantageous.

Physical Requirements

• Ability to sit for extended periods and work on a computer.
• Capability to lift up to 20 pounds.
